A South Dakota Single-Member LLC Operating Agreement is drafted by the only owner of a company with the intention of establishing and recording specific information regarding the structure, standard procedures, roles and responsibilities of individuals involved in the business as well as information concerning the owner. The owner should also clearly make their financial resources differentiable by explaining which resources are their own and which of these resources are related specifically to the business. This can be crucial in saving the owner's personal financial resources in situations where a legal case has been brought forward against the company. In such situations, if any debt needs to be recovered then only the resources that are linked directly to the business may be taken into account.
In South Dakota, you can still operate as a business without this agreement in place. That is not to say that it is not recommended. We would suggest starting with a basic South Dakota Single-Member LLC Operating Agreement Template which requires the owner to fill in details about the business.
