Wyoming NDA: How to Make?

To create an effective Wyoming NDA that will be accepted by courts and authorities, you need to follow these steps:

1. Record the full names and contact details of the counterparts.
2. Determine whether the agreement is mutual or unilateral . In most cases, the obligation is unilateral - the disclosing party makes the employee, customer, or advisor promise the sensitive data will not be released to any third parties. However, if you have discovered and developed proprietary information when you worked as equals with another entity or person, the obligation to keep these particulars private can be mutual.
3. List the details protected by the agreement - inventions, formulas, designs, product specifications, customer lists, etc. It is advised to confirm certain information is excluded from the coverage - for example, if the data already became public knowledge, there is no reason to mention it in the NDA.
4. Agree upon the duration of the contract . It may be tempting to offer indefinite protection but if you work in an industry where trade secrets, strategies, and practices expire quickly, there is no reason to sign an NDA that lasts more than a few years.
5. Add a non-compete clause if your goal is to prevent the disclosure of sensitive data inevitable in the event your ex-employee starts working for a local competitor . Note that in this case, you need to offer the individual sufficient compensation for losing an employment opportunity.
6. Sign the document and write down the actual date . Visit a notary public who will verify your identities and true intention to sign the deal - they will also put a notary seal under your signatures making it harder to challenge the authenticity of the contract later on.
