Utah NDA: How to Make?

Here is how you should draft a Utah NDA:

1. Indicate the personal details of the parties - their names, addresses, and telephone numbers.
2. Explain whether the obligation to keep the information confidential is mutual or unilateral . The first option is often used when business partners work as equals while the second option is applied when an employee is given access to sensitive data during their employment or after it is terminated.
3. Record the information that will be deemed "confidential" under the agreement . It is up to the parties to decide what to mention and what to exclude. Be precise and accurate when listing all the documents, records, schemes, designs, and patterns that fall under the confidential category. While it is not essential, it is advised to confirm the recipient of the information is not liable for the disclosure that took place before they worked with or for the owner of the data.
4. Determine the duration of the agreement . Be reasonable - there is no need to oblige the receiving party to keep the information secret if these details have an expiration date. In most cases, agreements of this sort are signed for several years.
5. List the actions of the parties that will be considered violations of the NDA in question and determine what steps the non-breaching party needs to take once they find out their counterpart could not comply with the provisions of the contract . It is recommended to reach out to the other party first and only then file a lawsuit claiming damages.
6. Notarize the document . The notary public will check the identities of the parties - do not sign and date the papers before your visit. Alternatively, you may issue an authorization for the legal representative that will act on your behalf formalizing the deal.
