Missouri NDA: How to Make?

To write an effective Missouri NDA that will be considered valid by authorities and courts alike, you need to take the following steps:

1. State the names and physical addresses of the parties . It is possible to add other contact details as well or share the driver's license number of the recipient if they are a private individual.
2. Determine what kind of information will be covered by the contract . This decision is up to the parties, so negotiate what sensitive data will be protected for months and years to come. In order to protect the receiving party, you may indicate what details are not included right away - for instance, the recipient will not be under the obligation to keep secret the information they knew before working with its owner.
3. Record the duration of the agreement . While this provision is not always essential and the NDA may be deemed enforceable without it, the parties are strongly advised to enter the number of years the non-disclosure period will last. If the data is very valuable, the duration can be indefinite.
4. Oblige the receiving party to avoid getting employed by your local competitors - this is called a "non-compete clause." 5. Sign the papers in the presence of a notary public . The latter will confirm your identities and witness your signatures. Alternatively, you may draft authorization for the legal representative who will act on your behalf while formalizing the deal - they can book an appointment with a notary public instead.
