Michigan Non-Disclosure Agreement: What is it?

Michigan NDA: How to Make?

Traditionally, a Michigan NDA contains the following elements to remain valid:

  1. Names and contact details of the parties . Ensure the telephone numbers and physical addresses of the counterparts are included in writing, and if the receiving party is a private individual, it is advised to add their driver's license number to the contract as well.
  2. Definition of "confidential information" as the counterparts understand it . It is up to you to decide which details will be covered by the NDA and what will be excluded from it. As a rule, the information the recipient knew before working with the disclosing party or before they agreed to keep it secret at least verbally is not going to be protected.
  3. Duration of the agreement . Depending on the type of information in question, you may choose to protect it indefinitely or sign the contract that will expire within a few years. It may be more reasonable to opt for temporary protection especially if you work in an industry where new data is constantly discovered and developed.
  4. Measures to take in the event of a contract breach . The non-breaching party, learning about a potential violation, should reach out to the other counterpart first, and if this measure fails, draft and file a lawsuit to claim damages and stop the continued disclosure if necessary.
  5. Signatures of the parties . Alternatively, the document can be signed by legal representatives if the parties believe the contract should be checked before it is formalized or they simply want to assign this duty to someone else.
  6. Notary seal . A notary public will verify the identities of the people that scheduled an appointment with them and put the notary seal under the signatures confirming the actual intention of the counterparts to sign the deal.
