Louisiana NDA: How to Make?

Here is how you can draft a legally binding Louisiana NDA:

1. Write down the full names and contact details of the parties.
2. Specify whether the NDA is mutual or unilateral . When both parties agree not to disclose the details they have learned or developed, usually during their collaboration, it means the obligation is mutual; if you are signing this agreement with an employee who is about to leave your company, the obligation not to share the proprietary information will only relate to them.
3. Record the duration of the contract . Think whether it makes sense to protect the data indefinitely and negotiate an indefinite agreement if you believe this is the best option. However, in most cases, the information loses its value within months and years, and there is no reason to oblige the recipient of information to keep it secret forever, so you can indicate the non-disclosure period that only lasts for a limited time.
4. Explain how the non-breaching party should act if they discover the violation of the contract . It is advised to wait before filing a lawsuit and claiming damages from the breaching party - at first, you should reach out to them, ask for an explanation, and formally notify them about your concerns asking them to stop disclosing information mentioned in the NDA.
5. Sign and date the document . If you are unable to be present during the contract negotiations or sign it yourself, you can issue an authorization for a legal representative who will act on your behalf, whether you are a private individual or a corporation. To add an extra level of protection to the deal, the parties need to book an appointment with a notary public who will confirm their intention to sign the contract.
