Alaska NDA: How to Make?
To compose an effective Alaska NDA, you need to include the following elements in the text of the document:
- Identification of the parties . Usually, it is enough to write the names of the individuals or companies that want to secure their rights with this agreement.
- Duration of the contract . In most cases, the agreement is indefinite; however, it is up to you to decide whether the recipient of confidential information can disclose it to other people in ten or fifteen years.
- List of sensitive details both parties or either of them got access to and a clear prohibition to share this information with anyone outside the company in question - sometimes, it is necessary to forbid the distribution of information and documentation with other employees or managers as well to prevent the leak.
- Exclusions from the confidentiality requirement - for instance, the individual does not have to be bound by the terms of the agreement if the information can become public in a different way or they already had the documents in their possession before they started working for the other party.
- Non-compete clause . Often included when the employer terminates the contract signed with a manager or another crucial employee, this provision will not let the latter join the market rival that is situated in the same geographical area or offers similar products and services.
- Notary seal . You have to be sure the identities of the parties are verified by a notary public - they will confirm the contract is signed without any duress. In case there is a disagreement or even legal dispute between the parties in the future, it will be harder to challenge the authenticity of the notarized agreement.
