Every company is free to decide what to include in this statement; but traditionally, the bylaws contain the following provisions: the full name and the primary location of the business, its purpose and targets for the next months and years, the rights and responsibilities of the board of directors, the procedures to adhere to when setting up a general or emergency meeting of the board members, the amendment clause that will apply to the bylaws as well, and the distribution of the company stock.
